Terms of Service

These Terms of Service ("Terms") govern your use of Vera, a relationship intelligence platform operated by Mukund Kunapareddy ("we", "us", "our") as a sole proprietorship in the State of Texas. By using Vera via SMS or the web dashboard, you agree to these Terms.

Vera is a relationship intelligence platform that helps you remember the people in your life. You can interact with Vera by:

Your data: You retain full ownership of all contact information and personal data you store in Vera. We do not claim any ownership rights over your data. You may export or delete your data at any time.

Aggregated insights: We own all rights to aggregated, anonymized data and insights derived from overall service usage patterns. This data is stripped of all personally identifiable information and cannot be traced back to any individual user. See our Privacy Policy for details.

Service: Vera, including its software, design, trademarks, and documentation, is owned by Mukund Kunapareddy. These Terms do not grant you any rights to our intellectual property except the limited right to use the service.

7. AI Processing and Accuracy Disclaimer

Vera uses artificial intelligence (Anthropic Claude) to process your messages and extract contact information. AI-generated results may contain errors, omissions, or inaccuracies. You acknowledge and agree that:

We aim to keep Vera available at all times but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the service at any time with reasonable notice when practicable.

9. Limitation of Liability

To the maximum extent permitted by law, Vera and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

10. Warranty Disclaimer

Vera is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vera and its operator from and against any claims, liabilities, damages, losses, and expenses arising from your use of the service or your violation of these Terms.

12. Termination

You may stop using Vera at any time by texting STOP or opting out of the service. You may request deletion of all your data by emailing mukund@tryvera.com. We may terminate or suspend your access for violation of these Terms with notice when practicable.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms that are not subject to arbitration shall be brought in the state or federal courts located in Texas.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Vera shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Texas or, at your election, by telephone or video conference.

You and Vera agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. The arbitrator's decision shall be final and binding.

Small claims exception: Either party may bring an individual action in small claims court in Texas if the claim qualifies.

Opt-out: You may opt out of this arbitration agreement by sending written notice to mukund@tryvera.com within 30 days of first using the service. If you opt out, disputes will be resolved in the state or federal courts of Texas.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemic, war or terrorism, power outages, internet or telecommunications failures, cyberattacks, or third-party service provider outages (including Twilio, Anthropic, or cloud infrastructure providers).

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vera regarding your use of the service. These Terms supersede any prior agreements or communications.

18. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via SMS or email. Continued use of Vera after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the service.
